A multi\-year Best in KLAS winner, MatrixCare is one of the largest platforms serving the post\-acute and long\-term care continuum. **About The Role** MatrixCare is hiring a Legal Counsel, with a focus on contract work, to draft, negotiate, and manage the company's commercial and corporate agreements during a critical standalone period. Working closely with the General Counsel \& Chief Compliance Officer, you will handle a high volume of healthcare\-related contracts independently — customer agreements, vendor and procurement contracts, and data privacy/security agreements — and help build the templates and playbooks that let the business move faster with less legal bottleneck. This is a hands\-on, individual\-contributor seat for an experienced attorney who is comfortable owning their work and knowing when to escalate. **What You'll Do** * Draft, review, and negotiate customer\-facing agreements, including SaaS/software license agreements, Master Service Agreements, Business Associate Agreements (BAAs), and Data Processing Agreements (DPAs) * Draft, review, and negotiate vendor and procurement contracts, including technology vendors, managed service providers, and professional services agreements * Support workforce\-related contracting, including staffing/RPO agreements, independent contractor agreements, and consulting SOWs * Support residual contractual matters tied to MatrixCare's separation from ResMed, including transition service agreements and related documentation * Build and maintain contract templates, playbooks, and negotiation guardrails so Sales, Procurement, and People can self\-serve on lower\-risk agreements * Partner with Information Security and Compliance on HIPAA, data privacy, and security\-related contract terms * Maintain accurate contract records and renewal visibility using the company's contract management tools * Advise internal stakeholders on contract terms and obligations, and escalate novel or high\-risk matters to the General Counsel **What Success looks like** * Faster contract turnaround (from request to execution) for standard agreements * Percentage of contracts using approved templates/playbooks vs. requiring bespoke legal drafting * On\-time completion of any outstanding TSA\-related or carve\-out contractual work * No material compliance or audit findings tied to contract terms within scope (BAAs, DPAs, security addenda) * Positive stakeholder feedback from Sales, Procurement, and People on responsiveness and clarity of guidance * Reduction in contract\-related risk exposure, evidenced by fewer unresolved liability, indemnification, or renewal gaps **What You'll Bring** * J.D. and active license to practice law in at least one U.S. state * 5\+ years of experience in commercial/contracts law, in\-house or at a firm with an in\-house\-facing practice * Healthcare domain experience is required — for example at a healthcare technology or SaaS company, provider or payer organization, or life sciences company * Hands\-on experience drafting and negotiating SaaS/software licensing agreements, BAAs, and data privacy/security contract terms * Working knowledge of HIPAA and healthcare data privacy requirements as they apply to commercial contracting * Sound independent judgment: comfortable managing your own workload in a lean, remote legal team and knowing when to escalate * Excellent drafting, negotiation, and cross\-functional communication skills * Experience supporting a carve\-out, divestiture, or M\&A transition is a plus * Experience with contract lifecycle management (CLM) tools is a plus * Post\-acute care or EHR software experience is a plus **Compensation** We are shaping the future at MatrixCare, and we recognize the need to build on and broaden our existing skills and continue to attract and retain the world’s best talent.
